These Seller Terms govern your participation as a content seller (“Seller”, “you”) on the btrU platform operated by btrU Health Ltd (“btrU”, “we”, “us”). These terms supplement and should be read alongside our general Terms and Conditions (btru.ai/terms) and Privacy Policy (btru.ai/privacy-policy).
By registering as a Seller on btrU, you agree to be bound by these Seller Terms.
1. Eligibility
To list content on btrU, you must:
(a) Be at least 18 years of age;
(b) Have completed Seller registration via our registration form;
(c) Have set up a Stripe Connect account for payment processing;
(d) Have the legal right to sell the content you list;
(e) Provide accurate information about your qualifications, credentials, and exam results.
2. Content Originality and Ownership
2.1. All content you submit to btrU must be your original work. You retain full intellectual property rights to your content.
2.2. You must not submit content that:
- Reproduces, closely paraphrases, or structurally copies published textbooks or other copyrighted material;
- Follows the chapter structure, organisation, or sequencing of a published work;
- Contains copyrighted images, diagrams, charts, or tables from third-party sources without the rights holder’s written permission;
- Includes content created by another person without their written consent.
2.3. You represent and warrant that each piece of content you submit is original and does not infringe any third party’s intellectual property rights.
2.4. btrU reserves the right to reject or remove any content that, in its sole discretion, appears to infringe third-party intellectual property rights or does not meet our editorial standards.
3. Content Review
3.1. All content submitted to btrU is subject to review before listing. btrU aims to complete reviews within 5 business days of submission but does not guarantee a specific timeline.
3.2. btrU may reject content for any reason, including but not limited to: quality concerns, originality concerns, clinical safety concerns, or content that does not meet btrU’s editorial standards.
3.3. btrU is not obligated to provide detailed reasons for rejection but will endeavour to provide constructive feedback where appropriate.
3.4. During the review process, btrU will generate a preview excerpt (typically the first 3 pages) for display to potential Buyers. By submitting content, you consent to this preview generation.
4. Licence Grant to btrU
4.1. By listing content on btrU, you grant btrU a non-exclusive, worldwide, royalty-free licence to:
(a) Display, promote, and distribute your content to Buyers on the btrU platform;
(b) Index your content for AI-powered search functionality, enabling Buyers to search across your content alongside other resources in their collection;
(c) Create preview excerpts for display to potential Buyers;
(d) Use your name, profile photo, bio, and listed credentials in promotional materials related to your content on btrU, including social media posts and creator interviews conducted by btrU;
(e) Include your content in aggregated, anonymised platform statistics.
4.2. This licence continues for as long as your content is listed on btrU. You may request removal of your content at any time (see Section 10).
4.3. Buyers who purchased your content before removal will retain access to it.
4A. Media and Promotional Consent
4A.1. By registering as a Seller and providing any photos, videos, or participating in btrU creator interviews, you consent to btrU using these materials for promotional purposes including but not limited to: social media posts (Instagram, TikTok, X, LinkedIn), website content, email marketing, and press materials.
4A.2. Promotional materials will be used solely to promote your listings on btrU and the btrU platform generally. btrU will not use your likeness to endorse unrelated products or services.
4A.3. You will not receive separate compensation for promotional use of your media beyond the commission structure described in Section 5.
4A.4. You may withdraw media consent at any time by emailing help@btru.ai. Upon receiving your withdrawal request, btrU will cease creating new promotional materials using your likeness within 14 business days. Previously published promotional materials may remain live for up to 30 days to allow for orderly removal.
4A.5. Withdrawal of media consent does not affect your Seller account, your content listings, or your ability to earn from sales. It only affects btrU’s use of your personal likeness in promotional materials.
5. Commission and Payments
5.1. btrU charges a commission of 30% on each sale of your content.
5.2. btrU may revise commission rates from time to time. Any reduction in commission applies automatically to all existing Sellers. Any increase in commission requires 30 days’ written notice to your registered email address and applies only to future sales made after the notice period has elapsed.
5.3. Payments are processed via Stripe Connect and paid out on a weekly basis.
5.4. The minimum payout threshold is £10. Amounts below this threshold will accumulate until the threshold is met.
5.5. You are solely responsible for reporting and paying any taxes (including income tax and National Insurance) due on income earned through btrU.
5.6. VAT may be added to the Buyer-facing price in addition to your listed price, where required by applicable law.
5.7. btrU may engage third-party partners, affiliates, or ambassadors for the purposes of marketing, promotion, and user acquisition. btrU may fund such arrangements from its own share of revenue, or may offer Sellers the opportunity to participate in optional promotional programmes where Sellers contribute toward affiliate or promotional costs. Participation in any such programme is voluntary and does not affect the Seller’s standard commission rate for non-promoted sales.
6. Pricing
6.1. You set the price for your content. btrU may advise on pricing but will not change your price without your consent.
6.2. The minimum listing price is £1.99. Content may also be listed as free (£0).
7. Price Parity
7.1. While your content is listed on btrU, you agree not to offer the same or substantially similar content at a lower price on any other platform or through any direct sales channel (including but not limited to personal websites, Gumroad, Stuvia, social media, or direct messaging).
7.2. You may list the same content on other platforms at the same or a higher price.
7.3. Breach of this clause may result in removal of your content and suspension of your Seller account.
8. Refunds
8.1. btrU may issue refunds to Buyers at its discretion in cases of duplicate purchase, technical error, or content that materially differs from its description.
8.2. Where a refund is issued, the corresponding commission and Seller payout will be reversed.
8.3. Refunded amounts will be deducted from the Seller’s next scheduled payout. If no future payout is pending, btrU may recover the amount from the Seller’s Stripe Connect account.
9. Content Updates
9.1. To update previously listed content (e.g., to reflect new guidelines or correct an error), email help@btru.ai with the revised file.
9.2. btrU will review the updated content and, if approved, replace the existing listing. Updated content may require re-processing through our AI search pipeline.
9.3. Buyers who previously purchased the content will receive access to the updated version at no additional charge.
10. Content Removal
10.1. You may request removal of your content at any time by emailing help@btru.ai.
10.2. btrU will process removal requests within 7 business days.
10.3. Buyers who purchased your content before removal will retain access.
10.4. Outstanding payouts for sales made before the removal request will still be paid out.
11. Account Suspension and Content Removal by btrU
11.1. btrU may remove your content or suspend your Seller account at any time if:
(a) We receive a copyright complaint regarding your content (see our Copyright and Takedown Policy at btru.ai/copyright);
(b) Your content is found to contain clinically dangerous inaccuracies;
(c) You breach these Seller Terms or btrU’s general Terms and Conditions;
(d) You misrepresent your credentials, qualifications, or exam results;
(e) You breach the Price Parity clause (Section 7);
(f) You attempt to solicit Buyers to transact outside the btrU platform.
11.2. Where possible, btrU will notify you before or promptly after removing content, unless doing so would compromise an investigation or legal process.
12. Credentials and Representations
12.1. Any qualifications, exam scores, grades, or credentials you include in your Seller profile or content listings are self-reported.
12.2. btrU does not independently verify Seller credentials unless explicitly stated on a listing.
12.3. If btrU discovers that credentials have been misrepresented, your Seller account will be permanently suspended and all listings removed.
13. Content Protection
13.1. btrU implements technical measures to protect your content from unauthorised reproduction. These currently include:
(a) Content is served through a secure document viewer that disables downloading of the original file;
(b) Printing is disabled within the viewer;
(c) Buyers access your content through AI-powered search (which returns referenced excerpts) and a limited preview (first 3 pages only for non-purchasers);
(d) The original uploaded file is stored securely and is not accessible to Buyers in its original form.
13.2. btrU may implement additional content protection measures from time to time, including but not limited to: text copy-paste restrictions, invisible watermarking of Buyer-specific copies, and screenshot deterrence. By listing content on btrU, you consent to btrU applying such protective measures to your content.
13.3. Buyers are prohibited under btrU’s Terms and Conditions from downloading, extracting, screen-capturing, or otherwise reproducing Marketplace Content for redistribution or resale. btrU will take reasonable action against Buyers found to be in breach of these restrictions, including account termination.
13.4. No digital rights management system is infallible. btrU does not guarantee that your content will never be copied or redistributed by a Buyer, and shall not be liable for any unauthorised reproduction by a third party.
14. Limitation of Liability
14.1. btrU is a marketplace platform. We do not guarantee any level of sales, revenue, or exposure for your content.
14.2. btrU is not liable for any loss of earnings resulting from content removal, platform downtime, changes to commission rates, changes to search algorithms, or any other modification to the platform or its services.
14.3. Your total aggregate liability to btrU under these Seller Terms shall not exceed the total commission fees paid by you to btrU in the 12 months preceding the claim.
15. Modifications to These Terms
15.1. btrU may update these Seller Terms from time to time. We will notify you of material changes by email to your registered email address at least 30 days before the changes take effect.
15.2. Your continued use of the btrU platform as a Seller after the effective date of any changes constitutes your acceptance of the updated Seller Terms.
15.3. If you do not agree with the updated terms, you may request removal of your content and close your Seller account before the changes take effect. Outstanding payouts for sales already made will still be paid to you.
16. Dispute Resolution
16.1. If a dispute arises between you and a Buyer regarding your content (including but not limited to quality, accuracy, or description), btrU will review the dispute and make a determination at its sole discretion. btrU’s determination is final.
16.2. If a dispute arises between you and btrU regarding these Seller Terms, you agree to first attempt to resolve the matter informally by emailing help@btru.ai. If the dispute is not resolved within 30 days, either party may pursue formal legal remedies.
17. Governing Law
These Seller Terms are governed by and construed in accordance with English law. The English courts shall have exclusive jurisdiction over any disputes arising from or in connection with these Seller Terms.
